Where does AI help at each stage of a deal?
At every stage of a private equity deal, but the gains are largest where a stage involves reading or producing a lot of documents against a known standard.
| Stage | What AI does | What the deal team keeps |
|---|---|---|
| Sourcing | Shortlists targets against the thesis and drafts outreach | Relationships, and who to call first |
| Screening | Extracts the facts of a CIM or teaser and checks them against fund criteria | Whether to take a first call |
| Diligence | Plans workstreams, reviews documents and drafts cited research | Expert and management calls, and the risk view |
| Valuation | Builds LBO and returns models with labelled assumptions | The assumptions, the price and the structure |
| Investment committee | Drafts the memo and deck from the work so far | The recommendation and the vote |
| First 100 days | Turns the thesis into levers, an EBITDA bridge and a plan | Who owns each lever, and the plan itself |
| Portfolio | Reviews monthly packs against plan and covenants, and flags variances | The conversation with management |
A white paper from Dartmouth's Tuck School of Business describes the same span, from sourcing and valuation to portfolio management, and concludes that human judgment and relationship-building remain essential. For diligence in detail, see how AI is used in due diligence.
What are the risks for a private equity firm?
Wrong numbers, leaked confidential information and claims about AI that the firm cannot back up.
- Wrong numbers. Financial documents are hard for AI to read reliably. In the FinanceBench study of November 2023, a leading model paired with document retrieval answered 81% of 150 questions about public company filings incorrectly or not at all. Models have improved since, which is a reason to test your own setup, not to skip the test.
- Confidential information. CIMs and data rooms come under confidentiality agreements. Check what a tool keeps, for how long, and whether it trains on uploads.
- What you tell investors and regulators. The SEC's fiscal 2026 examination priorities say examiners will review the accuracy of firms' claims about their AI capabilities and whether they supervise its use. Limited partners ask too: a September 2025 report says they want to know how managers use AI in fundraising and diligence, and what safeguards are in place.
Where should a firm start?
With one repeatable, document-heavy task whose output is easy to check, such as screening inbound CIMs.
- Write the fund's criteria down as testable thresholds: size, sector, geography, ownership and valuation.
- Run the AI screen on past deals where the outcome is known, and compare its verdicts with the team's.
- Look hard at the misses, then decide what the AI may draft and what a person must always check.
- Name an owner who reviews every output before it reaches a partner.
- Extend to the next task, such as the investment committee memo, only when the first one is trusted.
The CIM screening answer covers that first step in detail.
How does Forward Deployed support deal teams?
With a deliverable for each stage, ordered in your AI assistant, priced and approved before it runs, and done for your own team to review and own.
The deal catalog covers Deal Origination and Target Outreach (outreach drafts are never sent), Deal Screening (CIMs and Teasers), Due Diligence Planning, Outside-In Commercial Due Diligence, Leveraged Buyout Analysis, Returns Analysis, Investment Committee Preparation, Value Creation Planning (100-Day Plan), Portfolio Performance Review and Portfolio AI Opportunity Assessment. They are listed on the services page. To see the structure first, start with the free investment committee memo template.
The approach puts your own deal team in front, with capacity and method behind it, rather than an outside team; the comparison guide explains the idea and where it does not fit.
Frequently asked questions
Will AI replace private equity analysts?
Not the judgment part of the job. AI shortens first drafts of screens, models and memos, so more of an analyst's time can go to checking, judgment and conversations with management, experts and advisers. A white paper from Dartmouth's Tuck School of Business reaches a similar view: human judgment and relationships remain essential.
Does the SEC look at how private equity firms use AI?
Yes, under the rules that already apply to registered advisers. The SEC's fiscal 2026 examination priorities, which create no new obligations, say examiners will check the accuracy of firms' statements about their AI capabilities and whether firms have policies to monitor and supervise their use of AI.
What do limited partners ask about a fund's use of AI?
According to attorneys quoted by Venture Capital Journal in September 2025: how the manager uses AI in fundraising and diligence, how it manages the risks, and what safeguards it has in place. A clear written policy, an owner for each AI-assisted task and a record of human review make those questions easier to answer.
