Forward Deployed Terms of Service
Forward Deployed is a beta service. It is provided as is, may change or be interrupted at any time, may lose data, and is used at your own risk. See sections 14 and 15.

These Terms of Service ("Terms") are an agreement between Ockham Labs Inc. ("Forward Deployed", "we", "us" or "our"), and the organization that uses Forward Deployed ("Customer") and each person who signs in to Forward Deployed ("you"). By selecting Accept in Forward Deployed, creating or joining an organization, or using the Services, you agree to these Terms and to our Privacy Policy.
If you accept these Terms on behalf of an organization, you confirm that you are authorized to bind that organization. If you are not authorized, or do not agree, do not use the Services.
1. The Services
Forward Deployed is a business-to-business consulting platform. Client organizations and the people they invite collaborate with each other, and with Forward Deployed specialists they choose to involve, in private workspaces: a Concierge workspace and individual engagements. The Services include the Forward Deployed web portal, our application programming interfaces, our Model Context Protocol ("MCP") endpoint used by AI assistants, live rooms for real-time audio, video and screen sharing, and the paid services described in section 7 (together, the "Services").
The Services are intended for business use only. They are not offered to consumers, and you must be at least the age of majority where you live to use them.
2. Definitions
- Organization means a Customer's tenant in Forward Deployed, including its workspaces, members, settings and credit balance.
- Workspace means a Concierge workspace or an engagement within an Organization. Workspaces are private when created and are shared only through explicit membership.
- Users means everyone who accesses an Organization, including owners, administrators, members, guests, external advisers and Forward Deployed staff who have been given access.
- Customer Data means content that Users submit to the Services, such as messages, files, knowledge entries, requests and instructions, together with the Outputs generated for the Customer.
- Outputs means deliverables, reports, simulation results, assessments and other material generated by the Services for the Customer, including material generated with artificial intelligence.
- AI Assistant means a third-party AI application, such as Claude or ChatGPT, that a User connects to Forward Deployed.
- Credits means prepaid units that an Organization buys and uses to pay for paid services.
3. Accounts and sign-in
You sign in to Forward Deployed through Microsoft sign-in (Microsoft Entra), which verifies you, for example by sending a one-time code to your email address. Forward Deployed does not issue or store a separate password for you.
You must:
- provide accurate information and use your own account only;
- keep your email account and sign-in methods secure;
- never share one-time codes, invitation verification codes or access tokens, including by pasting them into an AI Assistant conversation; and
- tell us promptly at support@forwardeployed.work if you believe your account has been used without permission.
You are responsible for activity under your account. You can end your sessions and disconnect your AI Assistants at any time using Sign out everywhere on your account page.
4. Organizations and administrators
The person who creates an Organization becomes its owner and accepts these Terms for the Customer. Owners and administrators ("Admins") are responsible for their Organization, including:
- deciding who is invited, the organization role each person has (owner, admin, member or guest) and removing people who should no longer have access;
- maintaining any allowed email domains or join settings that the Services offer for the Organization, and reviewing requests to join;
- deciding whether and when to involve Forward Deployed staff or external advisers in a workspace;
- approving spending and setting any spending limits the Services provide; and
- making sure their Users comply with these Terms and that the Customer has any consents needed for the Customer Data its Users submit.
Admins do not automatically see private engagements that they are not members of. Forward Deployed staff access a Customer's workspaces only when a User with the necessary authority gives them access, or where necessary to provide support you request, keep the Services secure or comply with law.
When an access change is made, it applies to later requests. Removing a person's access does not recall information they already received, including information retrieved into an AI Assistant.
5. AI Assistants and connected apps
You may connect an AI Assistant to Forward Deployed. When you do, you choose the Organization it may act in and authorize it through our consent page. The AI Assistant can then use Forward Deployed on your behalf, within your permissions, until the connection expires or you disconnect it.
AI Assistants are provided by third parties under their own terms and privacy policies. Information that an AI Assistant retrieves from Forward Deployed leaves Forward Deployed and is processed by that provider under your or your organization's agreement with it. We are not responsible for AI Assistants, and they are not our subprocessors. Only connect AI Assistants that your organization permits.
6. Customer Data
As between the Customer and us, the Customer owns Customer Data. The Customer grants us a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit and display Customer Data only as needed to provide, secure and support the Services, to follow the Customer's instructions, and to comply with law.
We do not sell Customer Data. We do not use Customer Data to train generative artificial intelligence models. We may use aggregated or de-identified information about how the Services are used, which does not identify the Customer or any individual, to operate and improve the Services.
The Customer is responsible for Customer Data and confirms that it has the rights and consents needed to submit it and to have it processed as described in these Terms and the Privacy Policy. Do not submit payment card numbers, government identification numbers, health information or other sensitive personal information unless we have agreed in writing to handle it.
If you give us feedback or suggestions, we may use them without obligation to you.
7. Paid services, Credits and payment
Credits. Organizations buy Credits in advance through our payment processor, Stripe, at the price shown at checkout, plus applicable taxes. Credits are a prepaid right to use paid services. They are not money, a deposit or a stored-value instrument, have no cash value, earn no interest and cannot be transferred to another Organization.
Paid services. Paid services currently include:
- Deliverables, AI-generated documents and presentations priced in Credits according to the AI model tokens used (input and output), up to the maximum per deliverable shown before you approve;
- Simulations, research simulations priced per request according to the configuration you choose;
- Research and creative services, deep research, public source reading, company and launch intelligence, voiceover and podcast audio, priced in Credits according to measured usage (such as model tokens, pages read, characters and audio length), up to the maximum shown before you approve; and
- assessment packages, priced as shown when you request them.
Quotes, approvals and holds. Before paid work starts, the Services show a quote. Depending on the Organization's settings, a separate person may need to approve it. When the work starts, Credits are held; the final charge will not exceed the approved hold. If a job fails, unused held Credits are released, but completed steps may be charged where the quote says so.
Refunds. Credits and charges are non-refundable, except where required by applicable law or where we expressly state otherwise in writing. Refunds that we do give may be limited to the Organization's unused Credit balance.
Closure. If an Organization is closed, by the Customer or by us under section 13, any unused Credits are forfeited, except where applicable law requires otherwise.
Price changes. We may change prices and rates. Changes apply to purchases and quotes made after the change and never to a quote already approved.
Payment details. Stripe processes payments. We do not receive or store full payment card numbers. If a payment is reversed or disputed, we may deduct the corresponding Credits or suspend paid services until it is resolved.
8. AI-generated Outputs
Many Outputs are generated using artificial intelligence, including large language models. AI-generated Outputs can be inaccurate, incomplete, out of date, biased or inappropriate for your circumstances, and may be similar to material generated for others. Simulations describe plausible scenarios, not predictions of what will happen.
- Review before use. The Customer must review, verify and take responsibility for Outputs before relying on, publishing or acting on them.
- No professional advice. The Services and Outputs are not legal, financial, investment, accounting, tax, medical or other professional advice, and are not a substitute for advice from a qualified professional. Forward Deployed is not acting as your lawyer, accountant, auditor, financial or investment adviser.
- Decisions are yours. The Customer is responsible for decisions made using Outputs, including any decision that affects individuals. Do not use Outputs as the only basis for decisions with legal or similarly significant effects on people.
Subject to these Terms and payment of applicable charges, as between the Customer and us, the Customer owns the Outputs generated for it. We keep all rights in the Services themselves, including our software, templates, prompts, methods and documentation. We do not promise that Outputs are free of third-party rights.
9. Confidentiality
Each party will protect the other party's confidential information with at least reasonable care, use it only to perform or exercise rights under these Terms, and disclose it only to its personnel, advisers and service providers who need it and are bound by similar obligations. Customer Data is the Customer's confidential information. These obligations do not apply to information that is or becomes public through no fault of the receiving party, was already lawfully known to it, is independently developed, or is lawfully received from someone else without restriction. A party may disclose confidential information when required by law, after giving the other party notice where lawful and reasonable.
10. Privacy and data protection
Our Privacy Policy explains how we handle personal information. For Customer Data, we act on behalf of the Customer as its service provider (a "processor" under laws that use that term). For account, sign-in, billing and security information, we are responsible for our own handling. The Privacy Policy lists our subprocessors. A data processing agreement is available on request at support@forwardeployed.work.
11. Acceptable use
You must not, and must not allow others to:
- use the Services unlawfully, or to infringe, misappropriate or violate anyone's rights;
- upload malware or harmful code (uploaded files are scanned and may be quarantined or rejected);
- access, or try to access, another Organization's data, bypass access controls, probe or test the Services' security without our written permission, or interfere with the Services or their users;
- exceed or work around usage, rate or spending limits;
- send spam or unwanted invitations, or impersonate anyone;
- use the Services for high-risk purposes where failure could lead to death, injury or significant physical or environmental harm;
- use the Services or Outputs to build a competing product, or copy, resell or reverse engineer the Services except as the law expressly allows; or
- use AI features in breach of the usage policies of the model providers, which we will make available on request.
We may remove content or restrict access that we reasonably believe breaches this section.
12. Third-party services and security
The Services rely on third-party providers, including Microsoft Azure, Stripe, Cloudflare, Modal, AI model providers and an email delivery provider, as described in the Privacy Policy. Their availability may affect the Services.
We use reasonable technical and organizational safeguards designed to protect the Services and Customer Data, including encryption in transit and at rest, per-organization isolation and access controls, audit records and malware scanning of uploaded files. No system is completely secure. We will notify the Customer of a security breach affecting its data as required by applicable law.
13. Suspension, termination and closure
Suspension. We may suspend access, in whole or in part, if we reasonably believe it is necessary to prevent harm to the Services or others, to address a breach of these Terms or non-payment, or to comply with law. Where practical, we will tell you first and restore access once the issue is resolved.
Termination. The Customer may stop using the Services and ask us to close its Organization at any time by contacting support@forwardeployed.work. Either party may terminate these Terms for a material breach that is not cured within 30 days after written notice. We may also close an Organization with 90 days' notice if we discontinue the Services.
Effect of closure. When an Organization is closed, Users lose access, unused Credits are forfeited as described in section 7, and we delete the Organization's Customer Data within 30 days after closure. Copies in backups are removed as the backups expire. We may keep information we must retain by law, and records needed to show compliance, such as billing records, audit records and records of acceptance of these Terms. Before closure, Admins should export any Customer Data they want to keep.
Sections that by their nature should survive termination, including sections 6 to 9 and 14 to 19, survive.
14. Beta service and disclaimers
The whole Service is beta. Forward Deployed, including every feature, integration, AI assistant connection and Output, is an early-stage beta service. It may contain errors, change, be suspended or be discontinued at any time, with or without notice. There is no service level, uptime or support commitment. Data may be lost or corrupted: keep your own copies of anything you need. AI-generated Outputs may be inaccurate, incomplete or unsuitable, and you are solely responsible for checking them and for any decision you make using them.
To the fullest extent permitted by law, the Services and Outputs are provided "as is", "as available" and "with all faults", and Ockham Labs Inc. disclaims all warranties, conditions and representations, express, implied or statutory, including merchantability, merchantable quality, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted, secure or error-free operation. You use the Services at your own risk.
15. Limitation of liability
To the fullest extent permitted by law:
- Ockham Labs Inc. and its affiliates, directors, officers, employees and agents are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, data or Outputs, or the cost of substitute services, however caused and even if advised of the possibility; and
- the total liability of Ockham Labs Inc. and its affiliates, directors, officers, employees and agents for all claims arising out of or relating to these Terms or the Services, in any form of action, will not exceed the amounts the Customer paid us for the Services in the 3 months before the event giving rise to the claim, or CAD $100 if nothing was paid.
These limits apply even if a remedy fails of its essential purpose. They do not limit liability that cannot be limited or excluded by applicable law.
16. Indemnity
The Customer will defend and indemnify Ockham Labs Inc. and its officers, employees and agents against third-party claims, and related losses and reasonable legal costs, arising from Customer Data, the Customer's or its Users' use of Outputs, or a breach of section 11 by the Customer or its Users. We will give the Customer prompt notice of the claim, reasonable cooperation at the Customer's expense, and control of the defence, but the Customer may not settle a claim that imposes obligations on us without our consent.
17. Changes to these Terms
We may update these Terms and the Privacy Policy. The version and effective date appear at the top of each document. When we make a material change, we will change the version and ask you to review and accept the new version the next time you sign in, before you can continue to use the Services. If you do not accept, you may stop using the Services and the Customer may close its Organization. Your account page shows the version you last accepted and when.
18. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The parties submit to the exclusive jurisdiction of the courts of the Province of Ontario, except that either party may seek urgent injunctive relief in any court with jurisdiction. Before starting proceedings, the parties will try in good faith for 30 days to resolve the dispute by discussion.
19. General
- Entire agreement. These Terms, the Privacy Policy and any order form or written agreement signed by both parties form the entire agreement about the Services. If a signed agreement conflicts with these Terms, the signed agreement prevails.
- Assignment. Neither party may assign these Terms without the other's consent, except to a successor in a merger, reorganization or sale of substantially all of its relevant business or assets, with notice.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, other than payment obligations.
- Notices. We may give notices through the Services or by email to an Organization's Admins. Notices to us must be sent to support@forwardeployed.work and 4222 Dixie Rd, Unit 145, Mississauga, ON L4W 1M6, Canada.
- Relationship. The parties are independent contractors.
- Compliance. Each party will comply with export control and sanctions laws that apply to it.
- Severability and waiver. If a provision is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver.
- Language. The parties have required that these Terms and related documents be drawn up in English. Les parties ont exigé que ces conditions et les documents connexes soient rédigés en anglais.
